Speaker Agreement

This Speaker Agreement (“Agreement”) is entered into as of {Date}, by and between Brave Parenting LLC (“Company”), acting on behalf of {Speaker’s Name} (“Speaker”), and {Event Coordinator} (“Organizer”). This Agreement pertains to the engagement of the Speaker for [Event Name/Type of Event] to be held in {City}, {State}.

  1. Event Details

The Organizer engages the Company to provide the Speaker for [Event Name/Type of Event], scheduled to take place in [City, State] on [Date(s)]. Specific venue details will be provided by the Organizer no later than 30 days prior to the event.

  1. Speaker Responsibilities

The Speaker agrees to deliver [number] presentation(s) of [duration] minutes each on [Topic/Subject]. The Speaker will also participate in supplementary activities, which may include breakout sessions, panel discussions, and interactive discussions, as mutually agreed upon by the Speaker and Organizer, for a total engagement length of [duration]. The Speaker will provide all presentation materials and content, retaining full intellectual property rights unless otherwise agreed upon.

The Speaker is responsible for delivering the presentation in a professional manner and engaging with the audience throughout all agreed-upon activities. The Company will ensure that the Speaker is available for all scheduled activities during the event.

  1. Organizer Responsibilities

The Organizer is responsible for providing the following:

  • All necessary technical equipment, including but not limited to a projector, screen or TV, sound systems appropriate for the venue, and on-site technical support.
  • Technical setup and testing at least one hour prior to the start of the event.
  • Up to two standard rectangular tables (6′ or 8′ in length) for book or merchandise sales, if applicable, in a mutually agreed-upon location for these activities.
  • A detailed agenda of the event, including start and end times for all presentations and activities, no later than [insert number] days prior to the event.
  1. Speaker Fee and Payment

The standard fee for the Speaker’s presence is $250 per hour, with a minimum fee of $750 (equivalent to a 3-hour engagement), and a maximum fee of $2,000 for an 8-hour engagement. The minimum 3-hour fee covers setup, speaking time, and any additional activities, including but not limited to Q&A sessions, break-out sessions, or meet-and-greets.

For events located more than two hours away from the Speaker’s base, a travel fee of $250 per day of travel will apply.

For events exceeding 100 attendees, an assistant may be required at a rate of $250 per day, plus applicable travel expenses.

Payment terms are as follows:

  • A non-refundable deposit is due upon acceptance of this Agreement, as outlined in Section 16: Summary of Charges. The Organizer has 15 days from the date of this Agreement to sign and submit the deposit. Failure to do so will render this Agreement void, and a new Agreement will be required.
  • The remaining balance is due 30 days before the event. Failure to submit the final payment on time will result in a 5% late fee. If payment is not received within 10 days of the due date, the Company reserves the right to cancel the speaking engagement, and all payments made by the organizer up to that point will be retained by the Company and are non-refundable.
  • Acceptable payment methods include check or credit card.
  1. Travel and Accommodations

The Company will handle all travel and accommodation arrangements for the Speaker. The travel-related expenses for this event will be $[amount], covering transportation, accommodations, meals, and a reasonable buffer for any unforeseen expenses. These fees are included in the total contract fee, as outlined in Section 16: Summary of Charges.

The Organizer will not be responsible for reimbursing travel costs beyond what is included in the contract.

  1. Merchandise Sales

If applicable, the Organizer will provide up to two standard rectangular tables (6′ or 8′ in length) for the sale of books or merchandise, to be set up in a mutually agreed-upon location. The Speaker or the Company will handle all sales transactions. The Organizer agrees to allocate adequate space for merchandise sales but is not responsible for the promotion of these items unless otherwise agreed.

  1. Technical Requirements

The Speaker will provide their own laptop with presentation materials. The Organizer is responsible for ensuring the venue is equipped with the following:

  • A projector, screen/TV, and sound system suitable for the audience size.
  • On-site technical personnel available to assist with setup and address any technical issues.
  • All equipment must be set up and tested at least one hour prior to the Speaker’s presentation.
  • A USB-C or HDMI cable for video connection to the Speaker’s laptop.
  1. Cancellation and Refund Policy
  • Organizer Cancellation: If the Organizer cancels the event more than 30 days before the scheduled date, the Organizer is entitled to a refund of any fees paid, minus the non-refundable deposit. If cancellation occurs within 30 days of the event, the full fee, including the deposit, will be retained by the Company. If the Organizer cancels the event, the Organizer is not entitled to a refund of any non-refundable travel expenses, including but not limited to airfare.
  • Speaker Cancellation: If the Speaker cancels, they must provide written notice to the Organizer as soon as possible. In such cases, the Company will refund any received payments, including the non-refundable deposit, within 10 business days. The Speaker will not be held liable for cancellations due to travel disruptions beyond their control.
  • Force Majeure: Neither party shall be held responsible for delays or cancellations due to circumstances beyond their control, including but not limited to natural disasters, acts of terrorism, or public health emergencies.
  1. Insurance and Liability

The Organizer must maintain appropriate liability insurance for the event. The Company and Speaker shall not be held liable for any injuries or damages that occur during the event, except those caused by gross negligence or willful misconduct on their part.

  1. Intellectual Property

The Speaker retains full ownership of all presentation materials and intellectual property. Any recordings (audio, video, or otherwise) of the Speaker’s presentations or related activities require prior written consent from the Company. Unauthorized distribution or reproduction of these materials is prohibited.

  1. Confidentiality

Both parties agree to keep all sensitive information, including financial details and proprietary event content, confidential and not disclose it to any third parties without prior written consent.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.

  1. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both parties.

  1. Independent Contractor

The Speaker is engaged as an independent contractor. This Agreement does not create a partnership, joint venture, or employer-employee relationship between the Speaker (or Company) and the Organizer.

  1. Indemnification

The Organizer agrees to indemnify and hold harmless the Speaker and Company from any claims, damages, or liabilities arising from the event, except those resulting from the Speaker’s or Company’s gross negligence or willful misconduct. Likewise, the Company agrees to indemnify the Organizer for any damages arising from the Speaker’s breach of this Agreement.

  1. Summary of Charges

The total fees and expenses for the Speaker’s engagement, including travel and accommodation costs, are summarized below:
